    These Terms of Service (“Terms”) govern your access to and use of the website, online pages, forms, content, demos, waitlists, documentation, software, APIs, AI-enabled features, and other online services that link to these Terms (collectively, the “Services”) provided by Agentic Technologies SEZC (“Agentic Technologies,” “we,” “us,” or “our”).

    By accessing or using the Services, you agree to these Terms. If you do not agree to these Terms, do not access or use the Services.

    If you use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you and that entity.

    2. Additional Terms

    Some Services may be subject to additional terms, including product terms, order forms, subscription terms, API terms, enterprise agreements, data processing agreements, acceptable use policies, beta terms, documentation, or other written agreements between you and us (“Additional Terms”).

    If there is a conflict between these Terms and any Additional Terms, the Additional Terms will control for the relevant Service, unless the Additional Terms state otherwise.

    3. Eligibility

    You may use the Services only if you:

    • are at least the age of legal majority in your jurisdiction, or have valid consent from a parent or legal guardian;
    • can form a legally binding contract with us;
    • are not prohibited from using the Services under applicable law;
    • are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive trade sanctions or embargoes that prohibit your use of the Services;
    • are not listed on any applicable sanctions, restricted-party, or denied-party list.

    The Services are not directed to children under 18.

    4. Accounts

    Some Services may require you to create an account or receive login credentials.

    You agree to:

    • provide accurate, current, and complete account information;
    • keep your account information updated;
    • maintain the confidentiality of your login credentials;
    • not share your account credentials with unauthorized users;
    • notify us promptly of any suspected unauthorized access or security incident involving your account;
    • be responsible for all activity under your account, whether or not authorized by you, except to the extent caused by our breach of these Terms.

    We may reject, suspend, or terminate accounts where we reasonably believe that information is inaccurate, use is unauthorized, or continued access would create legal, security, operational, or reputational risk.

    5. Access to the Services

    Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal business or personal purposes, as applicable, and only in accordance with these Terms, any Additional Terms, and applicable law.

    We reserve all rights not expressly granted to you.

    6. Changes to the Services

    We may modify, suspend, discontinue, replace, limit, or update all or part of the Services at any time. This may include adding or removing features, changing availability, imposing usage limits, or modifying technical requirements.

    We are not liable for any modification, suspension, or discontinuation of the Services, except to the extent expressly required by applicable law or a separate written agreement.

    7. Acceptable Use

    You agree not to use the Services, or assist anyone else in using the Services, to:

    • violate any applicable law, regulation, legal obligation, or third-party right;
    • infringe, misappropriate, or violate intellectual property, privacy, publicity, confidentiality, contractual, or other rights;
    • upload, submit, transmit, or generate unlawful, harmful, abusive, defamatory, obscene, harassing, deceptive, fraudulent, or otherwise objectionable content;
    • develop, distribute, or facilitate malware, spyware, ransomware, phishing, credential theft, botnets, or other harmful code or activity;
    • gain unauthorized access to any system, account, data, network, or service;
    • interfere with or disrupt the Services or any related systems, networks, or security measures;
    • reverse engineer, decompile, disassemble, or attempt to derive source code, model weights, underlying algorithms, or non-public technical information, except to the extent such restriction is prohibited by applicable law;
    • scrape, crawl, harvest, or extract data from the Services except as expressly permitted by us in writing;
    • benchmark, evaluate, or compare the Services for competitive purposes without our prior written consent;
    • use the Services to build, train, or improve a competing product, model, or service, except as expressly permitted by us in writing;
    • remove, obscure, or alter proprietary notices;
    • impersonate another person or entity;
    • misrepresent your affiliation with any person or entity;
    • use the Services for spam, unsolicited marketing, or deceptive communications;
    • use the Services in a way that could overload, damage, impair, or compromise the Services;
    • bypass or attempt to bypass rate limits, access controls, usage limits, security measures, or payment obligations;
    • use the Services for high-risk activities where failure could lead to death, personal injury, severe property damage, environmental damage, or other catastrophic harm, unless expressly authorized by us in writing.

    We may investigate suspected violations and may suspend or terminate access to the Services where we reasonably believe a violation has occurred.

    8. User Content

    User Content” means any information, data, text, prompts, instructions, files, code, images, feedback, materials, or other content that you submit, upload, transmit, or otherwise provide to or through the Services.

    You retain any rights you have in your User Content. You grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, process, transmit, display, perform, modify, and use User Content as necessary to:

    • provide, operate, maintain, secure, and improve the Services;
    • respond to your requests;
    • provide support;
    • enforce these Terms;
    • comply with law;
    • prevent fraud, abuse, security incidents, and misuse;
    • exercise our rights and fulfill our obligations under these Terms and any Additional Terms.

    You represent and warrant that:

    • you have all rights, licenses, consents, and permissions necessary to provide User Content to us;
    • your User Content and our processing of it as permitted by these Terms will not violate law or third-party rights;
    • your User Content does not contain sensitive, regulated, confidential, or proprietary information unless you have authority to provide it and the applicable Service is appropriate for that information.

    9. AI-Enabled Services

    Some Services may use artificial intelligence, machine learning, automation, agents, or other algorithmic systems (“AI Services”).

    9.1 Inputs and Outputs

    For AI Services:

    • Inputs” means prompts, instructions, files, data, code, text, images, or other content you provide to the AI Services.
    • Outputs” means responses, results, suggestions, completions, generated content, actions, or other material generated by the AI Services based on Inputs.

    As between you and Agentic Technologies, and subject to these Terms, you own your Inputs and any rights we may assign to you in Outputs. We retain all rights in the Services, our technology, models, systems, software, documentation, workflows, know-how, and underlying intellectual property.

    9.2 Output Limitations

    You understand and agree that AI-generated Outputs may be inaccurate, incomplete, offensive, biased, unsafe, unlawful, or unsuitable for your intended use. Outputs may not be unique and similar or identical outputs may be generated for other users.

    You are responsible for:

    • evaluating Outputs before using or relying on them;
    • verifying accuracy, legality, safety, and suitability;
    • ensuring that your use of Outputs complies with applicable law and third-party rights;
    • obtaining professional advice where appropriate;
    • implementing appropriate human review and oversight.

    The AI Services are not a substitute for professional advice, judgment, or independent verification.

    9.3 No High-Risk Use Without Written Approval

    You may not use the AI Services for high-risk, regulated, or safety-critical purposes unless we have expressly authorized such use in writing. Restricted uses may include:

    • medical diagnosis, treatment, or emergency services;
    • legal, financial, tax, insurance, employment, housing, credit, education, or immigration decisions that materially affect a person’s rights or opportunities;
    • biometric identification or surveillance;
    • critical infrastructure;
    • weapons, military, or law-enforcement targeting;
    • autonomous systems where failure could cause death, personal injury, or significant damage;
    • any use requiring specialized regulatory approval unless you have obtained that approval.

    9.4 Model Training and Service Improvement

    Our use of Inputs, Outputs, and User Content for model training, product improvement, or analytics is governed by the following rule:

    For enterprise, paid, API, or customer-specific accounts, our use of Inputs, Outputs, and User Content for model training or improvement is governed by the applicable order form, enterprise agreement, data processing agreement, or product terms.

    9.5 Agentic Actions

    If the Services include AI agents or automated workflows that can take actions on your behalf, you are responsible for configuring permissions, reviewing proposed actions where applicable, monitoring agent activity, and ensuring that agent actions comply with law and your internal policies.

    We are not responsible for actions taken by an AI agent based on permissions, instructions, integrations, credentials, or data that you provide, except to the extent caused by our breach of these Terms.

    10. Feedback

    If you provide suggestions, ideas, comments, bug reports, feature requests, or other feedback about the Services (“Feedback”), you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable license to use, reproduce, modify, commercialize, disclose, and otherwise exploit the Feedback without restriction or compensation to you.

    11. Intellectual Property

    The Services, including all software, models, algorithms, agents, workflows, interfaces, designs, text, graphics, logos, trademarks, service marks, documentation, content, and other materials made available by us, are owned by Agentic Technologies or our licensors and are protected by intellectual property and other laws.

    Except for the limited rights expressly granted in these Terms, we and our licensors retain all rights, title, and interest in and to the Services. You may not use our name, logos, trademarks, service marks, trade dress, or branding without our prior written consent.

    12. Documentation and Website Content

    We may provide documentation, technical materials, blog posts, white papers, examples, sample code, research notes, or other content through the Services.

    Unless we state otherwise, this content is provided for general informational purposes only. It may be incomplete, outdated, or inaccurate, and we have no obligation to update it.

    You may use documentation solely to support your authorized use of the Services.

    15. Fees and Payment

    This section applies only if you purchase paid Services or if an order form, checkout page, invoice, or Additional Terms specifies fees.

    15.1 Fees & Billing

    You agree to pay all fees, charges, taxes, and other amounts described at checkout, in an order form, in an invoice, or in applicable Additional Terms. You authorize us and our payment processors to charge your selected payment method for all amounts due.

    15.3 Taxes

    Fees are exclusive of taxes unless stated otherwise. You are responsible for all applicable taxes, duties, levies, and governmental charges, excluding taxes based on our net income.

    15.4 Late Payments

    If you do not pay amounts when due, we may suspend or terminate access to paid Services, charge interest or late fees where permitted by law, and recover collection costs.

    15.6 Refunds

    Fees are non-refundable except as expressly stated in an order form, Additional Terms, or as required by applicable law.

    22. Disclaimers

    To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

    To the maximum extent permitted by applicable law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, compatibility, and uninterrupted or error-free operation.
